§ 1 Provider and scope
(1) The provider of the Shopify app "Codixio EU Withdrawal Button" (the "App") and the associated services on codixio.com (the "Services") is:
Matthias Jakisch, freelance software developer, Hauptstr. 34, OT Etingen, 39359 Oebisfelde-Weferlingen, Germany ("Codixio").
(2) These Terms apply to all contractual relationships between Codixio and Shopify merchants ("Merchant") who install and use the App via the Shopify App Store.
(3) The Merchant's own terms and conditions only apply with Codixio's express written consent. These Terms apply exclusively, even if Codixio provides services without reservation while aware of conflicting Merchant terms.
§ 2 Conclusion of contract
(1) The usage contract between Codixio and the Merchant is concluded upon installation of the App in the Shopify App Store. By installing the App, the Merchant accepts these Terms, the Privacy Policy and the Data Processing Agreement (DPA) valid at that time.
(2) Payment is processed exclusively via the Shopify Billing API. Codixio does not issue its own invoices; Shopify's billing and invoice formats apply.
§ 3 Service description
(1) Codixio provides the Merchant with the following features in tiers:
- Withdrawal button and form (all tiers): storefront button and consumer form for submitting a valid EU withdrawal under Directive 2011/83/EU as amended by Directive 2023/2673 (Art. 11a).
- Admin dashboard (all tiers): management of received withdrawals by the Merchant.
- AI features from v0.2.0 (Pro and Max): categorisation, sentiment analysis, translation, draft replies, anti-fraud scoring with pre-paid credits.
- Auto-accept function from v0.2.0 (Max only, opt-in): automated pre-approval of low-risk withdrawals.
- SMS and WhatsApp notifications from v0.3.0 (Max only, opt-in with double consent): confirmations over additional channels.
(2) The exact feature matrix per tier is documented on https://codixio.com and in the Shopify App Store. Codixio reserves the right to add or change features in a higher version; material restrictions will be announced 30 days in advance.
(3) Codixio does not owe individual customisations or advisory services beyond the App-Store listing.
§ 4 Prices and payment
(1) The monthly usage fees are based on the chosen tier:

(2) All prices are net prices. Codixio does not charge VAT due to its small-business status under § 19 UStG.
(3) Billing is monthly in advance via the Shopify Billing API.
§ 5 AI credits (pre-paid, from v0.2.0)
(1) AI features on the Pro and Max tiers are billed via a pre-paid credit system. The Merchant buys credits via the Shopify Billing API (appPurchaseOneTimeCreate).
(2) Available top-up amounts: EUR 10, 25, 50, 100 net and a manual amount between EUR 5 and EUR 250. Higher top-ups receive bonus credits per the following schedule:

(3) One credit equals one cent (EUR 0.01). The credits-to-feature mapping is documented in the App documentation and may be adjusted by Codixio upon model or provider change. Top-ups made before such a change transfer 1:1 onto the new price matrix.
(4) Credits do not expire while the usage contract is in effect. Upon termination or uninstallation, unused credits expire; no refund is granted.
§ 6 Term and termination
(1) The usage contract runs for an indefinite period.
(2) The Merchant may terminate the contract at any time by uninstalling the App in the Shopify Admin. Uninstallation counts as termination at the end of the current billing month. Fees already paid are not refunded pro rata.
(3) Codixio may terminate the contract with 30 days' notice to the end of the month.
(4) The right of extraordinary termination for good cause remains unaffected. Good cause exists in particular upon repeated violation of the usage rules in § 14.
§ 7 Price changes
(1) Codixio may adjust the prices with 30 days' notice by email to the contact address stored for the Merchant.
(2) If the Merchant objects to the change in writing within 30 days of receipt of the notice, this is considered a termination effective when the price change would take effect.
§ 8 Warranty
The statutory warranty rules of the German Civil Code (BGB) apply.
§ 9 Liability
Note: The following liability clause requires legal review before publication. In particular, limiting liability to intent and gross negligence in a B2B contract may be partly invalid in an AGB review.
(1) Codixio is liable without limitation under statute for damages caused by intent and gross negligence.
(2) For damages caused by simple negligence, Codixio is only liable for breach of material contractual obligations (cardinal obligations) whose fulfilment enables the proper execution of the contract in the first place and on whose compliance the Merchant may regularly rely. In this case, liability is limited to the damage typically foreseeable at contract conclusion, but no more than the sum of usage fees paid by the Merchant in the last twelve months.
(3) The limitation of liability does not apply to damages from injury to life, body or health, or to claims under the Product Liability Act.
(4) Strict liability under § 536a(1) BGB for defects existing at contract conclusion is excluded.
§ 10 Availability / Service Level
(1) Codixio guarantees a monthly App availability of 99.9 %, backed by the Hetzner Cloud Service Level Agreement (hosting infrastructure).
(2) Excluded from availability measurement:
- announced maintenance windows (announced at least 24 hours in advance)
- outages due to force majeure (e.g. DDoS attacks beyond Hetzner protection, network outages of third parties, natural events)
- outages caused by the Merchant itself
(3) If the guaranteed availability falls below 99.9 % in a given month, the Merchant receives a credit as a Service Credit. The credit is calculated from the downtime beyond the 99.9 % threshold multiplied by the pro-rated monthly fee. The Service Credit is offset against the monthly fee of the following month.
(4) No further claim for damages arises from availability shortfalls unless Codixio acted with intent or gross negligence.
§ 11 Data protection
(1) Codixio processes personal data on behalf of the Merchant in accordance with Art. 28 GDPR. Details are set out in the Data Processing Agreement (DPA) at https://legal.codixio.com/apps/eu-withdrawal-button/dpa.
(2) The Privacy Policy at https://legal.codixio.com/apps/eu-withdrawal-button/privacy informs data subjects (consumers and merchants) about the nature, scope and purpose of the data processing.
(3) Under data protection law, the Merchant is the Controller and Codixio is the Processor. The Merchant ensures that its own data protection notice discloses the use of the Codixio App.
§ 12 Intellectual property
(1) Withdrawal data and derived records belong to the Merchant. Codixio stores and processes these exclusively as Processor.
(2) Codixio does not use withdrawal data for its own purposes. In particular, AI models are not trained on Merchant or consumer data (see also DPA § 7).
(3) Aggregated, fully anonymised statistics (e.g. average withdrawal rate across all shops) may be used by Codixio for product improvement and marketing.
(4) Rights to the App (software, design, documentation, trademarks) are held exclusively by Codixio. The usage licence is limited to the contractual use of the App through the Merchant's own Shopify shop.
§ 13 Sanctions and export control
The App is not exported to countries where EU sanctions prohibit such export (in particular Russia, Belarus, North Korea, Iran, Syria, and the non-government-controlled territories of Donetsk, Luhansk, Zaporizhzhia and Kherson as well as Crimea). By installing the App, the Merchant confirms that its business is not based in any such country and does not appear on any relevant sanctions list (e.g. the EU Consolidated List).
§ 14 Usage rules
(1) The Merchant may only use the App for legitimate purposes within the scope of its Shopify shop.
(2) The following are prohibited:
- reverse engineering, decompilation or circumvention of the technical protective measures
- use by unauthorised third parties
- entry of manipulated or fabricated withdrawal data by the Merchant
- use for processing special categories of personal data under Art. 9 GDPR unless strictly necessary as part of a withdrawal
§ 15 Amendment of these Terms
(1) Codixio may amend these Terms with 30 days' notice by email to the contact address stored for the Merchant.
(2) If the Merchant objects to the amendment in writing within 30 days of receipt of the notice, this is considered a termination effective when the amendment would take effect.
§ 16 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) Place of jurisdiction for all disputes arising from or in connection with this contract is Magdeburg, provided the Merchant is a merchant under German law or is seated abroad. For disputes with consumers, statutory provisions apply.
(3) If individual provisions of these Terms are invalid or unenforceable, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by a valid one that comes closest to the economic intent.
