1. Provider and scope

The provider of the Codixio Back in Stock extension is: Matthias Jakisch, Hauptstr. 34, OT Etingen, 39359 Oebisfelde-Weferlingen, Germany. Phone +49 39059 974988. E-mail general support@codixio.com, e-mail data protection and legal legal@codixio.com. Legal form: sole proprietorship (no commercial register entry), operating under the trade name Codixio. VAT identification number pursuant to Sec. 27a UStG: DE296346917. Tax status: small business under Sec. 19 UStG.

These terms apply to the provision and use of the Codixio Back in Stock extension obtained through the Shopware Store.

The offering is directed exclusively at entrepreneurs within the meaning of Sec. 14 of the German Civil Code. The conclusion of a contract with consumers within the meaning of Sec. 13 of the German Civil Code is excluded. By installing the extension, the customer confirms that they are acting as an entrepreneur.

Deviating terms of the customer apply only insofar as the provider has agreed to them in text form.

2. Conclusion of contract and relationship with the Shopware Store

The extension is obtained through the Shopware Store. The basic fee and the additional plans are billed by Shopware AG within the customer's contractual relationship with Shopware AG. The terms of Shopware AG apply in addition to the acquisition and billing process.

The usage contract for the extension is concluded between the customer and the provider upon installation in the customer's shop.

3. Scope of services

The extension enables end customers of the shop to sign up for a notification regarding an unavailable product and sends that notification as soon as the product is available again according to the messages of the shop.

The scope of functions depends on the plan booked:

Standard: sign-up form on the product page per variant, confirmed sign-up procedure with confirmation e-mail, one-off automatic sending of the notification per sign-up, product details and product link in the notification, unsubscribe link in every e-mail, configuration per sales channel, automatic erasure in accordance with the applicable periods.

Pro: additionally an own template for the notification with predefined placeholders, availability threshold globally and per product, choice of the stock basis, deactivation per product, notification of the merchant upon new confirmed sign-ups.

Max: additionally an evaluation of open demand without personal reference, output of the sign-ups as a file, events for the shop's Flow Builder.

Enterprise: additionally sign-up for products that are not yet available or not yet active (waiting list), reminder after a configurable number of days, restriction of permissible e-mail domains, priority handling of support requests.

Each higher plan includes the scope of functions of the plans below it. All e-mails are sent through the mail infrastructure of the customer's shop. A dispatch service of the provider's own is not part of the contract.

4. Fees

The Standard plan is billed as a monthly basic fee. The Pro, Max and Enterprise plans are booked as a surcharge on the basic fee via the purchase option within the extension.

The prices applicable in each case follow from the extension's entry in the Shopware Store and from the purchase option within the extension. They are final prices; pursuant to Sec. 19 UStG the provider does not show value added tax.

The provider announces price changes with thirty days' notice in text form or via the store entry. If the customer does not object before the change takes effect, the change is deemed accepted; in the event of an objection the customer may end the use as at the date the change takes effect.

5. Term, change of plan and termination

Use runs on a monthly basis unless the store entry provides otherwise. Termination and uninstallation take place via the administration in the Shopware Store or in the customer's shop.

Upon a change to a lower plan, settings already stored are retained but are locked for editing and no longer take effect; the behaviour of the Standard plan applies again. Upon a later change to a higher plan, the previously stored settings take effect again without any further action. A change to a lower plan does not delete any sign-ups.

Upon uninstallation of the extension, all data of the shop is erased. The customer shall ensure that any required evaluations or exports are carried out beforehand.

6. Customer obligations

The customer is responsible for the lawful use of the extension in their shop, in particular for informing their end customers under data protection law, for including the reference to their own privacy policy and for handling the rights of data subjects. The customer is the controller under data protection law; the details are governed by the data processing agreement at https://legal.codixio.com/apps/back-in-stock-shopware/dpa.en.

The customer ensures a functioning mail configuration of their shop, as the e-mails are sent through it. The customer does not use the extension to send advertising or other content that does not serve the requested notification; the option to adapt the template must not be used to alter the character of the message as a requested availability notification.

The customer refrains from anything that places an excessive load on the extension or the provider's infrastructure or that circumvents their security measures.

7. Availability and support

The provider operates the infrastructure belonging to the extension with the due care of a prudent businessperson and endeavours to achieve availability that is as continuous as possible. No particular availability quota is warranted. Maintenance work is scheduled at times of low demand where possible.

The provider owes no availability of systems it does not operate, in particular not of the customer's shop, the mail configuration therein and the services of Shopware AG.

The customer addresses support requests to support@codixio.com. The provider handles requests in the order of receipt; customers on the Enterprise plan are handled with priority. No particular response time is warranted.

8. Changes to the extension

The provider is entitled to develop the extension further and to adapt it to changes of the Shopware platform. The provider announces changes that materially restrict the contractually owed scope of functions of the plan booked with reasonable notice; in that case the customer may end the use as at the date the change takes effect.

9. Intellectual property

For the duration of the use, the provider grants the customer a simple, non-transferable right to use the extension as intended in the shops covered by the store entry. All rights to the extension, the program code and the associated content remain with the provider.

The customer may not reverse engineer, decrypt, reproduce or make the extension available to third parties outside its intended operation, unless this is mandatorily permitted by law.

10. Liability

The provider is liable without limitation in cases of intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.

In cases of simple negligence, the provider is liable only for the breach of a material contractual obligation, that is an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely. In that case liability is limited to the foreseeable damage typical of the contract.

Any further liability is excluded. Liability under Art. 82 GDPR remains unaffected.

The provider is not liable for lost profit resulting from notifications that were not delivered, insofar as the cause lies outside its sphere of responsibility, in particular in the event of faults in the customer's mail configuration, rejection of delivery by the recipient server, or incorrect stock data in the customer's shop.

11. Data protection

12. Changes to these terms

The provider may amend these terms with effect for the future insofar as this is necessary to adapt to changed legislation, case law or platform requirements and the customer is not thereby unreasonably disadvantaged. The amendment is announced with thirty days' notice in text form or via the extension. If the customer does not object before the amendment takes effect, the amendment is deemed accepted; this is pointed out separately in the announcement. In the event of an objection, the customer may end the use as at the date the amendment takes effect.

13. Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

Should any provision of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The statutory provision shall take the place of the invalid provision.
